Now what: Unfortunately for Zep bulls, management doesn't expect the operating pressure to let up anytime soon. "[W]e are currently experiencing organic revenue declines and expect this to continue over the next twelve months," said Chairman and CEO John Morgan. "We will therefore restructure the business to bring costs in-line with our revenue expectations and improve return on invested capital, while continuing to prudently invest in future growth initiatives." With the stock now off about 20% from its 52-week highs and trading at a forward P/E of 10, it might even be a good time to buy into that turnaround talk.�

    I'm perfectly happy recycling past investment ideas, and PCTEL (PCTI) treated me quite well indeed when I owned the stock about a decade ago. Since that time, though, the company has gone through a significant transformation and is really only the same in name only. Different isn't always better, but I do believe that PCTEL now operates a collection of businesses with interesting growth and margin potential.     From a technical perspective, PCTI bounced modestly higher here right above some near-term support at $9.50 with decent upside volume. This stock has been trending sideways in a consolidation pattern for the last month, with shares moving between $9.08 on the downside and $10 on the upside. Shares of PCTI are now quickly moving within range of triggering a major breakout trade. That trade will hit if PCTI manages to take out its 52-week high at $10 with high volume.

    Traders should now look for long-biased trades in PCTI as long as it's trending above near-term support at $9.50 or above $9.08 and then once it sustains a move or close above $10 with volume that hits near or above 80,200 shares. If that breakout triggers soon, then PCTI will set up to enter new 52-week-high territory, which is bullish technical price action. Some possible upside targets off that breakout are $12 to $13.

MSO Is Crap, New CEO Unlikely to Help

If Daniel Dienst is the answer to Martha Stewart Living Omnimedia’s (MSO) problems, the domestic diva’s media empire may be in far worse shape than investors have feared.

Dienst, who joined the board of the New York-based company in August, was the head of Sims Metal Management (SMSMY), North America’s largest scrap metal recycler. His nine-year tenure was not without controversy.

Earlier this year, the company was forced to take a write down of $291.3 million in impairment charges after allegations of fraud surfaced in the company’s U.K. operations. The company restated its earnings for the past three years. At the time,  Dienst, who “retired” from Sims in June and wasn’t accused of wrongdoing, offered a profuse public apology, saying:

“Our announcement of employee misconduct and potential fraud is obviously something no CEO wants to make — it’s extremely disappointing, it’s embarrassing and it’s a situation that should have never occurred in the first place.”

Wall Street doesn’t know what to make of Dienst’s appointment. Give credit to Mike Kupinski, an analyst with Noble Financial Capital Markets, for a trying to put it in context: "It was at first a little shocking, but then completely made sense. He's a restructuring kind of guy. He has a history of coming into companies, fixing them up and selling them."

One problem with this theory is that the biggest impediment reducing costs at MSO might be Stewart herself. The Domestic Diva earned a staggering $5.46 million in compensation, about 260% higher than the $1.5 million Lisa Gersh (Dienst’s predecessor) earned. Stewart’s perks included $2 million in fees and expenses $168,871 for personal fitness, wellness, beauty and wardrobe and $127,955 for personal drivers.

Stewart, though, is doing some belt-tightening. As USA Today noted, she took a 10% cut to her 2013 salary, leaving her with $1.8 million. Her annual licensing fee was slashed to $1.7 million — a decline of  $300,000. No one needs to throw a benefit in Stewart’s honor, though: Forbes estimates her fortune at $970 million. Perhaps Stewart should follow the lead of the Wall Street masters of the universe, many of whom took $1 salaries when the financial crisis hit.

MSO also is a mess financially. The company’s only profitable business in the last quarter was merchandising, and it was hardly a cash generating machine. Revenue at the business jumped 7% to $14.2 million as it benefited from “royalty revenue recognition from the company’s relationship with JCPenney.” Operating income surged about 12% to $9.5 million.

Unfortunately, this bright spot might not last. JCPenney, which has plenty of other problems, recently announced that it was scaling back its relationship its MSO because of the legal challenge leveled by Macy’s (M) to MSO’s alliance with JCP. Silly Macy’s was under the impression that it had an “exclusive” agreement with MSO. Martha Stewart clearly thought otherwise, prompting a legal battle royale.

But MSO’s biggest problem is more fundamental. It is a gnat-sized company in a media industry populated by elephants such as Time Warner (TWX),  Viacom (VIA.B) and Walt Disney (DIS).    Martha Stewart should have sold her company years ago because her brand makes more sense being a part of a larger organization than as a stand-alone company.

That’s the strategy that Stewart’s rival Oprah Winfrey has undertaken. She partnered with Hearst to publish O, the Oprah Magazine and with Discovery Communications (DSCA) for her cable channel OWN, lessening her personal risk. Winfrey’s magazine and broadcast operations are far more successful than anything Stewart has done. Forbes pegs Winfrey’s net worth at $2.9 billion.

Getting back to Dienst, he’s certainly trying to get off on the right foot, saying, ” …I look forward to rolling up my sleeves, getting to work and helping write the next few chapters of this remarkable company’s story.”

Unfortunately, many of the CEOs who have worked with Stewart have also brimmed with optimism at the starts of their tenures, only to give up and quit. I will be shocked if Dienst lasts a year.

The bottom line is that now is not the time to buy MSO.

During the height of the Deepwater Horizon tragedy four years ago, I had my graduate students monitor the flow of oil from the sunken platform in the Gulf of Mexico.

Most of their work involved rather straightforward calculations based on undersea camera footage.

SandRidge Mississippian Trust II is a statutory trust formed to own overriding royalty interests to be conveyed to the trust by SandRidge Energy, Inc. (SandRidge) in 67 producing horizontal wells, including 13 wells, which are awaiting completion (the Producing Wells), in the Mississippian formation in northern Oklahoma and southern Kansas, and overriding royalty interests in 206 horizontal development wells (The Development Wells) to be drilled in the Mississippian formation (the Development Wells) on properties within an Area of Mutual Interest (the AMI). SandRidge is an independent oil and natural gas company engaged in the development and production activities related to the exploitation of its holdings in West Texas and the Mid-Continent area of Oklahoma and Kansas. The AMI, which is limited to the Mississippian formation, consists of approximately 81,200 gross acres (53,000 net acres) held by SandRidge. The Bank of New York Mellon Trust Company, N.A. is trustee (the Trustee), and The Corporation Trust Company is a Delaware Trustee (the Delaware Trustee).

The Mississippian formation is encountered at depths between approximately 4,000 feet and 7,000 feet and lies between the Pennsylvanian-aged Morrow formation and the Devonian-aged Woodford Shale formation. Effective as of January 1, 2012, the royalty interests was conveyed from SandRidge's interest in the Producing Wells and the Development Wells. The royalty interest in the Producing Wells (the PDP Royalty Interest) entitles the trust to receive 80% of the proceeds from the sale of production of oil and natural gas attributable to SandRidge's net revenue interest in the Producing Wells. The royalty interest in the Development Wells (the Development Royalty Interest) entitles the trust to receive 70% of the proceeds from the sale of oil and natural gas production attributable to SandRidge's net revenue interest in the Development Wells.

As of December 31, 2011, the total proved reserves estimated to be attributable to t! he trust were 26.1 million barrels of oil equivalent. This amount includes 10.2 million barrels of oil equivalent attributable to the PDP Royalty Interest and 15.9 million barrels of oil equivalent attributable to the Development Royalty Interest. The proved reserves consist of 46.8% oil and 53.2% natural gas. In addition, as of December 31, 2011, there were 9.8 million barrels of oil equivalent of probable reserves estimated to be attributable to the trust, all of which were attributable to the Development Royalty Interest. The probable reserves consist of 46.9% oil and 53.1% natural gas.

SandRidge will retain 20% of the proceeds from the sale of oil and natural gas attributable to its net revenue interest in the Producing Wells, as well as 30% of the proceeds from the sale of future production attributable to its net revenue interest in the Development Wells. SandRidge initially will own 48.2% of the trust units. SandRidge operates 79% of the Producing Wells. The completed Producing Wells and 121 other Mississippian wells outside of the AMI that have been completed by SandRidge have an average perforated length of approximately 4,200 feet. SandRidge Exploration and Production, LLC (SandRidge E&P), a wholly owned subsidiary of SandRidge, will grant to the trust a lien on its interests in the AMI.

The Underlying Properties are located in Noble, Kay, Alfalfa, Grant and Woods counties in northern Oklahoma and Harper, Comanche, Sumner and Barber counties in southern Kansas in the Mississippian formation, which is an expansive carbonate hydrocarbon system located on the Anadarko Shelf. The Mississippian formation can reach 1,000 feet in gross thickness and the targeted porosity zone is between 50 and 100 feet in thickness. As of December 31, 2011, there were approximately 43 horizontal rigs drilling in the formation, with 19 of those rigs drilling for SandRidge. As of December 31, 2011, SandRidge had approximately 1.5 million net acres leased in the Mississippian formation in north! ern Oklah! oma and Kansas.

    The problem here is that SandRidge has been�dependent�on asset sales and its running out of assets to sell. In addition to the Permian sale, SandRidge has now taken three royalty trusts public. One consisting of Permian Basin assets, SandRidge Permian Trust (NYSE: PER  ) and two consisting of Mississippian assets, SandRidge Mississippian Trust I (NYSE: SDT  ) and SandRidge Mississippian Trust II (NYSE: SDR  ) . While SandRidge still owns a portion of each trust, it likely will continue to sell off its ownership stake in each trust as well as other assets it still owns. At some point SandRidge will need to live within its oil and gas cash flows, otherwise, its not worth owning.�

    SandRidge has made a huge bet on the Mississippian Lime shale play, especially after selling off its Permian Basin assets late last year. Unfortunately, that bet hasn't paid off well for shareholders, as the company saw its spun-off royalty trusts SandRidge Mississippian Trust I (NYSE: SDT  ) and SandRidge Mississippian Trust II (NYSE: SDR  ) fail to meet their projections for distribution amounts during the first quarter. The main problem has been that wells in the Mississippian Lime have produced more natural gas than expected, and even with a slight rebound in gas prices, it still doesn't produce adequate margins compared to oil and natural-gas liquids.
