JPMorgan and Friends Lend to the Dow's Gain

After a disappointing close yesterday, the Dow Jones Industrial Average (DJINDICES: ^DJI  ) is headed higher early in trading, with a 67-point gain as of 11:40 a.m. EDT. Some positive news on the economic front and a rally from the financial district may be the fuel the index needs to keep its momentum.

Sentiment is high
New data on consumer sentiment for May shows that it's reached its highest level in almost six years. Upper-income households carried the data, as families continued to feel better about economic conditions and financial outlooks. The index from Reuters and the University of Michigan noted the rise to 83.7 from 76.4 in April, which topped analyst expectations of 78. Consumer spending attitudes were notably improved as the index showed a big rise in shopping plans for durable goods from 137 to 148.

Since consumer spending is so important for the economic recovery, improved spending attitudes are encouraging. As more segments of the consumer demographics return to positive sentiment, the country may see an increase in lending, and a boost to the housing market and other areas that will drive further economic recovery.

A big win
JPMorgan (NYSE: JPM  ) is leading the financials within the Dow higher this morning, with a 2% gain at 11:40 a.m. EDT. The bank and its compatriots can add another tally to their regulatory-win column. Yesterday the Commodity Futures Trading Commission voted to approve new rules that create an exchange platform for trading credit-default, interest rate, and commodity swaps. The new rules will allow for greater pricing transparency, but some are disappointed that the commission approved a "watered down" version of the Dodd-Frank rules. For JPMorgan and Bank of America (NYSE: BAC  ) , which is up 0.7% so far this morning, it's a welcome change.

These two Dow component stocks, along with Citigroup (NYSE: C  ) , Morgan Stanley (NYSE: MS  ) , and Goldman Sachs, control 95% of the U.S. market for swaps trading. And with a global market totaling $633 trillion, the banks are happy to maintain their hold on that share. The previous rules had aimed to reduce costs for customers, which would have cut into the banks' revenue. The newly approved terms represent a compromise on behalf of the banks, which lobbied long and hard to keep Dodd-Frank off the trading floor.

Headlines are full of concerns about the big bank and its current legal and internal issues. With big finance firms still trading at deep discounts to their historic norms, investors everywhere are wondering if this is the new normal, or if finance stocks are a screaming buy. 3 Reasons to Love the Internet Sales Tax Bill

There are few pieces of legislation that have worked their way through Congress over the past couple of years that are as polarizing as the Marketplace Fairness Act. Also known as the Internet sales tax bill, this measure would allow states to force online retailers with more than $1 million in annual out-of-state sales to collect sales tax from their customers, and then turn that tax over to state and local governments.

Needless to say, the bill has a fair number of supporters and also plenty of opposition. Supporters of the bill argue that imposing a tax on Internet sales would only be fair since state and local governments already collect tax on brick-and-mortar businesses. Those who oppose the bill point out that it gives the federal government too much power in state and local government tax affairs and could subject online retailers to a slew of state and local audits.

Regardless of which side of the aisle you're on, there are both positive and negative aspects to the bill. Today, I intend to look at three reasons you should welcome the Internet sales tax bill with open arms. Later in the week I'll look at the other side of the coin and point out its faults.

Reason No. 1: It will give brick-and-mortar retailers new life.
The clear winner of this type of legislation would be brick-and-mortar retailers that have been previously crushed by the "showrooming effect." One of the best examples of this is big-box retailer Best Buy (NYSE: BBY  ) , which has seen sales slow as consumers used its stores to figure out which items they wanted to buy, then turned to online retailers such as Amazon.com (NASDAQ: AMZN  ) and eBay (NASDAQ: EBAY  ) for their purchases since the sale price was often lower and, as a bonus, there was no sales tax in most instances.

The disadvantage to brick-and-mortar retailers is that they're required to pay tax in each state that they operate in. Best Buy has stores in all 50 states; therefore it pays taxes in, you guessed it, 50 states. Amazon.com and eBay, on the other hand, are only required to collect tax in states where they have offices or distribution centers. This leaves a vast majority of states in the gray area where they aren't required to collect taxes from consumers, giving both quite the comparative advantage over traditional retailers.

The Internet sales tax bill would close this "loophole" and allow brick-and-mortar retailers to get back on level ground with Internet retailers. Best Buy is already trying to do this with its new price-matching policy, but this bill would certainly expedite matters.

Another way of looking at this is that it could keep thousands of brick-and-mortar jobs secure. With most online retailers losing their huge comparative advantage, it would free up traditional retailers to focus on expanding their brand, enhancing their product offerings, and focusing on the service that once made them great.

Reason No. 2: It will encourage competition and innovation.
One of the most interesting factors about breaking down the huge advantage that online retailers currently have over traditional retailers is that it would likely encourage innovation at a considerably faster pace than we're seeing now.

Again using Best Buy as an example, the big-box retailer saw sales of its televisions and other appliances sink like a stone in recent years because it never really adapted its game plan. Being bigger and having a wider selection than its smaller peers, Best Buy simply relied on it size and expected that the products would eventually sell themselves. It wasn't until Amazon and eBay changed the game through price undercutting and expanded online electronics offerings that put Best Buy's in-store selection to shame that Best Buy began to shift its strategy. Recently, the company has turned the tables by shrinking its square footage, opening mobile-focused centers to drive traffic, and incentivizing its associates to make sales. Had this online competition not existed, Best Buy's complacency might have gotten the better of them.

With the sales tax bill leveling the playing field between online retailers and traditional retailers, the fight for customers should only intensify, which is rarely bad for consumers. What I'd expect to see is a combination of discount and loyalty battles between these types of retailers. As you might expect, online retailers will focus on their larger inventory capacity and use discounts to sway consumers. Brick-and-mortar retailers will emphasize the ability to touch and feel products in their stores, as well as loyalty reward credit and store cards, to keep consumers coming back. Any way you look at it, this is a win-win for the consumer.

Reason No. 3: It will generate $22 billion to $24 billion in annual revenue.
Unless you've been hiding under a rock, you're probably well aware of the fact that our national debt is quickly approaching $17 trillion. Federal budget deficits in recent years have run in excess of $1 trillion per year as the government has tried everything under the sun to stimulate a struggling economy. With the economy finally gaining some traction, the need to cut back on spending, as well as generate more revenue from taxes, is now front and center. You might say Uncle Sam needs your tax money now more than ever.

If you recall, the last couple of debt-ceiling debates Congress has have ended in almost circus-like fashion. Rather than dealing with the issues at hand, politicians on both sides of the aisle merely swept the problems under the rug to be dealt with later. A lack of meaningful resolution led to the imposition of sequestration earlier this year, which necessitated $85 billion in federal budget cuts and temporarily spooked investors.

The Internet sales tax bill won't be an overnight cure for the nation's bleeding checkbook, but it will add in the neighborhood of $22 billion to $24 billion in annual tax revenue to state and local governments. That's great news at a time when funding across many social programs is scarce. In addition to the added revenue, it could also calm investors a bit as the funding gap -- assuming Congress keeps spending where it's at now -- would close just a bit more. I repeat, this isn't a cure to the nation's budget deficit, but it's a solid step in the right direction.

Onto the House
Admittedly the Internet sales tax bill is still a long way from becoming law in spite of a passing vote (69 to 27) in the Senate on Monday. Opposition in the House of Representatives stands firm against the bill, yet, as I alluded to above, the opposition isn't just based on party affiliation. Whether or not this is the first of many attempts to enact a universal Internet sales tax, I can say with certainty that consumers have some pretty undeniable reasons to love this bill if it's eventually signed into law.

American Autos Don't Get Enough Credit

At least once a week I hear someone hollering that Detroit's vehicles are junk. It makes me realize how far in the past consumer perceptions of Detroit's vehicles remain. I don't think some people realize how far domestic vehicles have come in the past five years. Some only remember when the Big Three made great trucks but lousy, inefficient, poor-quality vehicles -- and refuse to give it another thought. Some of the investing community still describes Ford (NYSE: F  ) and General Motors (NYSE: GM  ) stock in similar distasteful terms.

Times have changed. In looking at the new vehicles rolling out of Detroit, here are a few things for consumers to keep in mind, as well as what they mean for investors. I'll use Ford as my prime example.

Quality
It took years for the American consumer to give up on domestic vehicles, and it will take years to win them back, but the fact remains that the Big Three have been fighting -- and perhaps winning -- the quality battle. In your head, rank Toyota (NYSE: TM  ) , Honda, GM, and Ford one through four, with No. 1 representing the highest total number of recalls over the past three years. Whom do you think comes out on top? The results may surprise you. 

Toyota, previously known for its industry-leading quality, tops all automakers in total recalls. It also has more recalls than the No. 2 and 3 spots combined -- or GM tripled -- in that time period.

I'll take it a step beyond recalls and point out that Ford is winning critics over with its value. Ford was recently a shining star in the U.S News and World Report "Best Car for the Money" awards for 2013. It dominated the competition by taking home six first-place categories, more than any other brand. 

Past and present
When Toyota and Honda first entered the U.S. market, everybody just knew Detroit was invincible. Well, we all know what happens when we get complacent, and sure enough, Detroit fell -- hard.

We find ourselves in a similar situation today with perceptions, except the roles are reversed. Recently it was unthinkable for Detroit to produce a quality and fuel-efficient passenger car to compete with the Japanese. People still struggle to grasp the notion that things have changed. After all, we just know the Toyota Camry and Corolla are unbeatable. The Camry has been America's best-selling car for 11 straight years, after all.

But look at how far the Ford Fusion has come in its short six-year lifespan:

The Fusion is keeping pace so far this year as well, with both vehicles topping 80,000 sales in the U.S. for the first quarter. Camry sales, meanwhile, declined 12% last month, losing some ground to the Fusion, which gained 6%. The factory producing the Fusion is now running over capacity to try to keep cars on the lots.

But this race between the Fusion and Camry isn't the only story making headlines for the competing automakers. Last year, the Ford Focus topped over 1 million in global sales, allowing it to claim the No. 1 selling "nameplate" crown -- a crown that Toyota's Corolla had worn. When global sales for the Corolla sold under different names are included, the Corolla does top the Focus, with 1.16 million sold to 1.02 million -- but that doesn't change the fact that Toyota is probably scratching its head and wondering how Ford has managed to make such a quick turnaround. Ford not only competes in segments it was once laughed out of -- it's beginning to win.

Bottom line
Popular vehicles and better management have provided a consistently profitable bottom line for Ford. The company has also improved operations while growing economies of scale -- giving a boost to its industry-leading margins. It reinstated its dividend, and then soon after doubled it. Loyal investors from the start of Ford's turnaround are enjoying their spoils while waiting for a future that could bring even greater returns.

As consumers begin to give Detroit another chance, it should be a rewarding ride for Ford investors.

Clearly, it�� still their company.

    By the way, the name ADDvantage Technologies has nothing to do with the Chymiaks. Today�� AEY really traces its roots to a private company called Tulsat. The Chymiak brothers acquired that company about 27 years ago. So, effectively, when you buy shares of AEY you are buying into a 27-year-old family-controlled company.

    Solitron Devices is 29% owned by Shevach Saraf. He has been the CEO for 20 years. The post-bankruptcy Solitron has never known another CEO. Before the bankruptcy, Solitron was a much bigger, much different company. So even though we are not talking about the founder here ��and even though 70% of the company�� shares are not held by the CEO ��we��e still talking about a company where one person has a lot of control. Solitron only has three directors. Saraf is the chairman, CEO, president, CFO and treasurer. Neither of the other two directors joined the board within the last 15 years. So, we aren�� talking about a lot of tumult at the top.

    In fact, profitable net-nets seem to be especially common candidates for abandoning the responsibilities of a public company without actually getting taken private.

If you don�� mind having 5% positions in your portfolio, your portfolio can obviously be twice as big as mine and you can still consider buying the same small stocks I do. In terms of specific stocks, it depends on the amount of float and the volume the stock trades in an average month. We are really getting into specifics here. And I may be boring people. But if you�� like to hear more about the minutiae of how you actually buy and sell tiny stocks like these, let me know, and I��l do an article on the subject.

    By the way, there is a hard and fast rule of thumb that it usually makes no sense to invest in a company with a market cap that is smaller than your portfolio. This is true for both fund and individual investors. Funds break it all the time. But, frankly, it is probably a waste of an analyst/fund manager�� time to even analyze such tiny positions relative to the size of the whole portfolio. Since even when we are discussing very small stocks we are still talking about millions and millions of dollars in market cap, this is hardly a concern for most individuals.

    So, for individual investors, actual inability to acquire enough shares of a company to meaningful influence their portfolio is rarely the problem. If you bid for a stock month after month ��you��l get your shares.

    The concern for individual investors is not whether buying enough shares is possible. The concern is how quickly and easily you can buy and sell. This is what we call ��iquidity.��/p>

    Instead of thinking about stocks as liquid or illiquid, you should think in terms of your portfolio and your liquidity needs. It doesn't make much sense to use what I'll call an "objective" (as in stock-oriented) approach to liquidity rather than a "subjective" (as in investor-oriented) approach to liquidity.

Certain of its NGL pipelines offer firm capacity reservation services. It collects storage revenues under its NGL and related product storage contracts based on the number of days a customer has volumes in storage multiplied by a storage fee. NGL pipelines include Mid-America Pipeline System, South Texas NGL Pipeline System, Seminole Pipeline, Dixie Pipeline, Chaparral NGL System, Louisiana Pipeline System, Skelly-Belvieu Pipeline, Promix NGL Gathering System, Houston Ship Channel pipeline, Rio Grande Pipeline, Panola Pipeline and Lou-Tex NGL Pipeline. The Company�� NGL operations include import and export facilities located on the Houston Ship Channel in southeast Texas. It owns an import and export facility located on land it leases from Oiltanking Houston LP. Its import facility can offload NGLs from tanker vessels at rates up to 14,000 barrels per hour depending on the product. During the year ended December 31, 2012, its average combined NGL import and export volumes were 132 thousand barrels per day. In addition to its Houston Ship Channel import/export terminal, it owns a barge dock also located on the Houston Ship Channel, which can load or offload two barges of NGLs or other products simultaneously at rates up to 5,000 barrels per hour.

The Company owns or have interests in 14 NGL fractionators located in Texas and Louisiana. NGL fractionators separate mixed NGL streams into purity NGL products. The primary sources of mixed NGLs fractionated in the United States are domestic natural gas processing plants, crude oil refineries and imports of butane and propane mixtures. Mixed NGLs sourced from domestic natural gas processing plants and crude oil refineries are transported by NGL pipelines and by railcar and truck to NGL fractionation facilities.

The Company�� NGL fractionation facilities process mixed NGL streams for third party customers and support its NGL marketing activities. It earns revenues from NGL fractionation under fee-based arrangements, including a level of demand-based fees. At its Norco facility in Louisiana, it performs fractionation services for certain customers under percent-of-liquids co! ntracts. ! Its fee-based fractionation customers retain title to the NGLs, which it processes for them. Its NGL fractionators include Mont Belvieu fractionator, Shoup and Armstrong fractionator, Hobbs NGL fractionator, Norco NGL fractionator, Promix NGL fractionators and BRF fractionators.

Onshore Natural Gas Pipelines & Services

The Company�� Onshore Natural Gas Pipelines & Services business segment includes approximately 19,900 miles of onshore natural gas pipeline systems, which provide for the gathering and transportation of natural gas in Colorado, Louisiana, New Mexico, Texas and Wyoming. It leases salt dome natural gas storage facilities located in Texas and Louisiana and own a salt dome storage cavern in Texas, which are integral to its pipeline operations. This segment also includes its related natural gas marketing activities.

The Company�� onshore natural gas pipeline systems and storage facilities provide for the gathering and transportation of natural gas from producing regions, such as the San Juan, Barnett Shale, Permian, Piceance, Greater Green River, Haynesville Shale and Eagle Ford Shale supply basins in the western United States. Under its natural gas storage contracts, there are typically two components of revenues monthly demand payments, which are associated with a customer�� storage capacity reservation and paid regardless of actual usage, and storage fees per unit of volume stored at its facilities. The Company�� natural gas marketing activities generate revenues from the sale and delivery of natural gas obtained from third party well-head purchases, regional natural gas processing plants and the open market.

Onshore Crude Oil Pipelines & Services

The Company�� Onshore Crude Oil Pipelines & Services business segment includes approximately 5,100 miles of onshore crude oil pipelines, crude oil storage terminals located in Oklahoma and Texas, and its crude oil marketing activities. Its onshore crude oil pipeline systems gather and transport crude oil in New Mexico, Oklahoma and Texas to refineries, centralized storage terminals and connecting pipelines. Revenue from crude oil transportation is based upon a fixed fee per barrel transported multiplied by the volume delivered.

The Company owns crude oil terminal facilities in Cushing, Oklahoma and Midland, Texas, which are used to store crude oil volumes for it and its customers. Under its crude oil terminaling agreements, it charges customers for crude oil storage based on the number of days a customer has volumes in storage multiplied by a contractual storage fee. With respect to storage capacity reservation agreements, it collects a fee for reserving storage capacity for customers at its terminals. The Company�� Offshore Pipelines & Services business segment serves active drilling and development regions, including deepwater production fields, in the northern Gulf of Mexico offshore Texas, Louisiana, Mississippi and Alabama. This segment includes approximately 2,300 miles of offshore natural gas and crude oil pipelines and six offshore hub platforms. Its offshore Gulf of Mexico pipelines provide for the gathering and transportation of natural gas or crude oil. Revenue from its offshore pipelines is derived from fee-based agreements whereby the customer is charged a fee per unit of volume gathered or transported multiplied by the volume delivered. Poseidon Oil Pipeline Company, L.L.C. (Poseidon), in which it has a 36% equity method investment, purchases crude oil from producers and shippers at a receipt point (at a fixed or index-based price less a location differential) and then sells quantities of crude oil at onshore Louisiana locations (at the same fixed or index-based price, as applicable).

The Company�� offshore platforms are components of its pipeline operations. Platforms are used to interconnect the offshore pipeline network; provide means to perform pipeline maintenance; locate compression, separation and production handling equipment and similar assets, and conduct drilling operations during the initial development phase of an oil and natural gas property. Revenues from offshore platform services consist of demand fees and commodity charges. Revenue from commodity charges is based on a fixed-fee per unit of volume delivered to the platform multiplied by the total volume of each product delivered.

Petrochemical & Refined Products Services

The Company�� Petrochemical & Refined Products Services business segment consists of propylene fractionation plants, pipelines and related marketing activities; a butane isom! erization! facility and related pipeline system; octane enhancement and isobutylene production facilities; refined products pipelines, including its Products Pipeline System, and related marketing activities, and marine transportation and other services.

The Company�� propylene fractionation and related activities consist of seven propylene fractionation plants (six located in Mont Belvieu, Texas and a seventh in Baton Rouge, Louisiana), propylene pipeline systems aggregating approximately 680 miles in length and related petrochemical marketing activities. This business includes an export facility and associated above-ground polymer grade propylene storage spheres located in Seabrook, Texas. Results of operations for its polymer grade propylene plants are dependent upon toll processing arrangements and petrochemical marketing activities. The toll processing arrangements include a base-processing fee per gallon (or other unit of measurement). Its petrochemical marketing activities include the purchase and fractionation of refinery grade propylene obtained in the open market and generate revenues from the sale and delivery of products obtained through propylene fractionation. The revenues from its propylene pipelines are based upon a transportation fee per unit of volume multiplied by the volume delivered to the customer. As part of its petrochemical marketing activities, it has refinery grade propylene purchase and polymer grade propylene sales agreements. Its butane isomerization business includes three butamer reactor units and eight associated deisobutanizer units located in Mont Belvieu, Texas, which comprise the commercial isomerization facility in the United States.

The Company�� commercial isomerization units convert normal butane into mixed butane, which is fractionated into isobutane, isobutane and residual normal butane. The uses of isobutane are for the production of propylene oxide, isooctane, isobutylene and alkylate for motor gasoline. These processing arrangements inclu! de a base! -processing fee per gallon (or other unit of measurement). Its isomerization business also generates revenues from the sale of natural gasoline created as a by-product of the isomerization process. The Company owns and operates an octane enhancement production facility located in Mont Belvieu, Texas, which produces isooctane, isobutylene and methyl tertiary butyl ether (MTBE). The products produced by this facility are used in reformulated motor gasoline blends. The isobutane feedstocks consumed in the production of these products are supplied by its isomerization units. The Company owns a facility located on the Houston Ship Channel, which produces high purity isobutylene (HPIB). The feedstock for this plant is produced by its octane enhancement facility located at its Mont Belvieu complex. HPIB is used in the production of alkylated phenols used as antioxidants, lube oil additives, butyl rubber and resins.

Refined products pipelines and related activities consist of its Products Pipeline System, equity method investment in Centennial Pipeline LLC (Centennial) and refined products marketing activities. The Products Pipeline System transports refined products, and petrochemicals, such as ethylene and propylene and NGLs, such as propane and normal butane. These refined products are produced by refineries and include gasoline, diesel fuel, aviation fuel, kerosene, distillates and heating oil. Refined products also include blend stocks, such as raffinate and naphtha. Blend stocks are used to produce gasoline or as a feedstock for certain petrochemicals. The Centennial Pipeline intersects its Products Pipeline System near Creal Springs, Illinois, and loops the Products Pipeline System between Beaumont, Texas and south Illinois. In addition, it has refined products terminals located at Aberdeen, Mississippi and Boligee, Alabama adjacent to the Tombigbee River and on the Houston Ship Channel in Pasadena, Texas. Its related marketing activities generate revenues from the sale and delivery of refin! ed produc! ts obtained from third parties on the open market.

Chipotle Mexican Grill (CMG) -- Winner Chipotle is getting a new stamp in its ethnic cuisine passport. Having mastered Mexican, it was already giving Asian a shot with its new ShopHouse chain. And now, we can add Italian to its map after Chipotle revealed this week that it's a financial backer of Pizzeria Locale. The fast casual concept gives pizza a Chipotle-like makeover with folks ordering at the counter, customizing their 11-inch pies along the assembly line, after which they are baked in a speedy oven that serves up tasty pies in just two minutes. Chipotle's growing just fine with its flagship burrito chain, but it never hurts to diversify before expansion-fueled growth plateaus, or tastes change. Target (TGT) -- Loser Holiday shopping at Target may ultimately prove to more trouble than bargain seekers were hoping for this season. The cheap chic discounter revealed that hackers installed software that stole the info on more than 40 million credit and debit card transactions from Nov. 27 through Dec. 15. This is naturally going to be bad news for those that had their plastic compromised. Everyone that shopped at Target this season is being advised to carefully look over their statements. However, it's also very bad for the retailer at the worst possible time. Shoppers may not be too comfortable heading into Target during these last few shopping days before Christmas. AMC Entertainment (AMC) -- Winner Lights! Camera! IPO action! It may not have been the blockbuster IPO of the year, but the debut of the leading movie theater chain proved to be a success this week. AMC Entertainment went public at $18, opening 7 percent higher and staying above its IPO price. The leading exhibitor operates 343 movie theaters housing 4,950 screens. AMC entertains 200 million guests

    Open season on the cookie jar
    Nor will they be alone. According to Bloomberg, the phenomenon of corporate insiders "raising loans through companies they own to pay themselves dividends" is a hot new trend. It's especially popular among private equity owners. A few examples:

    During the three years in which Blackstone Group (NYSE: BX  ) owned SeaWorld (NYSE: SEAS  ) , before IPOing it earlier this year, the private equity firm heaped $400 million in new debton the company -- and paid itself in excess of $600 million worth of "special" dividends. Petco has been taken private twice already (and re-IPOed once), getting loaded up with debt each time. A couple of years ago, private equity owners TPG Capital and Leonard Green & Partners took out more than $1.2 billion in loans to pay themselves a near-$700 million special dividend. Yankee Candleis aiming to raise $1.4 billion later this year and, like Beats, says it will use some of the money to roll over old debt and some more to pay its private equity owner, Dearborn Partners, a $187 million dividend.

    The $700 million question
    So, clearly, the trend is popular, but why is it popular? Why are all these companies taking on debt to pay themselves dividends, knowing the debt will eventually come due and they'll have to pay it back?
